1. Acceptance of Terms

By accessing or using VitoFarms, you agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not use our Service.

2. Description of Service

VitoFarms is a B2B marketplace platform that connects Poultry Farmers (sellers) with poultry transporters (buyers) for livestock including:

  • Chicken Farms: Live chickens for various purposes

The platform facilitates:

  • Order placement(by buyers) and management
  • Offers(by sellers) and negotiation systems
  • Service Fee processing
  • Referral payments
  • Delivery coordination
  • Review and rating systems

3. User Accounts and Registration

3.1 Account Creation

  • You must provide accurate and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 18 years old to create an account
  • One person or entity may not maintain multiple accounts

3.2 User Roles

Our platform supports three primary user roles:

Buyer: Can place orders, and purchase product SELLER: Can list farms and send offers on orders.

4. Seller Responsibilities and Farm Management

4.1 Farm Registration

  • Sellers must provide accurate farm information including:
    • Farm type (Chicken)
    • Location details (Province, District, Tehsil)
    • Production capacity and availability
    • Contact information

4.2 Capacity Management

  • Sellers must maintain accurate capacity information
  • Stock capacity must be updated for chicken farms
  • False capacity reporting may result in account suspension

4.3 Seller Level System

Our platform uses a tiered seller system:

NEW_SELLER: Default level for new sellers LEVEL_1: Established sellers with good track record LEVEL_2: Experienced sellers with excellent performance TOP_RATED: Elite sellers with outstanding performance ACE: Ultra elite sellers with exceptional performance

Seller levels are determined by:

  • Order completion rate
  • Customer ratings (60-day rolling average)
  • Report history

5. Order and Contract Management

5.1 Order Placement

  • Buyers can place orders for immediate delivery
  • Orders expire after 24 hours if not confirmed
  • Delivery addresses must be accurate and accessible
  • Time slots must be realistic and achievable

5.2 Offerding Process

  • Sellers can offer on orders within specified timeframes
  • Offers include pricing, delivery terms, and transport options
  • Buyers can accept, reject, or counter offers
  • Seller can only send 5 offers per order

6. Payment Terms

6.1 Order Payment Processing

  • Order payments are processed through Cash on Delivery (COD)
  • Buyers pay sellers directly upon receiving the order
  • Sellers are responsible for collecting payment from buyers
  • Order completion is confirmed after successful payment collection

6.2 Platform Service Fees

The platform charges service fees for facilitating sales and orders:

  • Seller Service Fee: PKR 199 per completed order
  • Buyer Service Fee: PKR 299 per completed order
  • Service fees are collected from sellers after order completion
  • Both buyer and seller service fees are paid by the seller to the platform

6.3 Service Fee Payment Terms

  • Sellers can accumulate service fees up to PKR 2,000
  • Once service fees reach PKR 2,000, payment must be made within 3 days
  • Failure to pay within the specified timeframe may result in account suspension
  • Service fees are automatically calculated and tracked in seller accounts

6.4 Referral Commission System

The platform operates a referral program with the following commission structure:

Referral Commission Rates:

  • Buyer Referral: PKR 200 commission per completed order for each referred buyer
  • Seller Referral: PKR 100 commission per completed order for each referred seller
  • Dual Referral: PKR 300 commission per completed order when referring both buyer and seller

Referral Payment Terms:

  • Referral commissions are paid by the platform to referrers
  • Payments are processed after order completion and confirmation
  • Commission payments are made according to platform payment schedule
  • Referral tracking is automated through unique referral codes

6.5 Pricing and Fee Structure

  • Sellers set their own prices per unit for products
  • All service fees and commission rates are disclosed at registration
  • Additional fees may apply for premium services
  • Price and fee disputes are handled through our support system

7. Delivery and Logistics

7.1 Delivery Requirements

  • Sellers are responsible for product quality and packaging
  • Delivery must occur within agreed timeframes specified in the order
  • Payment must be collected at the point of delivery (Cash on Delivery)
  • Sellers are responsible for marking the order as "delivered" in the system
  • Delivery confirmation is required for order completion and payment processing

7.2 Transport Arrangements and Flexibility

The platform offers flexible transport options that are negotiated between parties:

Transport Options:

  • Seller-Provided Transport: Sellers can offer their own delivery services
  • Buyer-Arranged Transport: Buyers can arrange their own pickup/transport
  • Negotiated Transport: Transport arrangements are decided during the negotiation process

Transport Negotiation:

  • Transport arrangements are part of the order negotiation process
  • Both buyers and sellers can propose transport solutions
  • Transport costs and responsibilities must be clearly agreed upon
  • Final transport arrangement is confirmed before order acceptance

Transport Expense Policy:

  • The party providing transport services bears all transport-related expenses
  • Transport costs include fuel, vehicle maintenance, driver fees, and any associated charges
  • Transport expenses are separate from product pricing and service fees
  • Transport cost allocation must be clearly specified in the order agreement

7.3 Delivery Process and Responsibilities

  • Driver and vehicle information must be provided when transport is arranged
  • Live location sharing may be required for order tracking
  • Delivery routes and timing must be optimized for efficiency
  • Sellers must ensure product quality during transport regardless of who provides transport
  • Payment collection is the seller's responsibility at delivery point
  • Order status must be updated to "delivered" by the seller upon successful completion

7.4 Order Verification and Payment Responsibility

CRITICAL: Buyers must verify orders before making payment

Pre-Payment Verification Requirements:

  • Buyers must thoroughly inspect the delivered products before payment
  • Verify quantity, quality, and specifications match the original order
  • Check product condition and ensure it meets agreed standards
  • Confirm all order details are accurate before releasing payment

Payment Finality:

  • Once payment is made and accepted, the transaction is considered final
  • Buyers are responsible for verifying order accuracy before payment
  • Platform is NOT responsible for product quality, quantity, or specification disputes after payment
  • Platform liability is limited to facilitating communication between parties

Platform Role Clarification:

  • VitoFarms serves as a transparent communication platform between buyers and sellers
  • The platform facilitates connections and provides tools for negotiation
  • Platform does not guarantee product quality, delivery, or transaction outcomes
  • All product-related disputes must be resolved directly between buyers and sellers

8. Quality and Standards

8.1 Product Quality and Industrial Standards

Mandatory Quality Requirements:

  • All products must meet Pakistani livestock and poultry industry standards
  • Products must comply with relevant government regulations and health standards
  • Quality specifications must be clearly stated and accurately represented
  • Product defects must be reported immediately upon discovery
  • Sellers must deliver exactly what is requested and agreed upon

Industrial Standards for Livestock:

  • Live Chickens: Must be healthy, disease-free, and meet weight specifications
  • Health Certifications: Valid health certificates required where applicable
  • Age and Breed Accuracy: Accurate representation of chicken age, breed, and characteristics
  • Vaccination Records: Proper vaccination documentation when asked by buyer
  • Feed and Care Standards: Products must meet standard care and feeding practices

8.2 Anti-Fraud and Scam Prevention

Platform Commitment Against Fraud:

  • VitoFarms takes fraudulent activities and scams extremely seriously
  • Zero tolerance policy for misrepresentation, false advertising, or deceptive practices
  • Strict enforcement measures are in place to protect all platform users
  • Sellers must deliver products exactly as described and agreed upon

Fraudulent Activities Include:

  • Misrepresenting product quality, quantity, or specifications
  • Providing false farm information or capacity details
  • Accepting payment without delivering promised products
  • Delivering substandard or different products than ordered
  • Creating fake accounts or manipulating reviews
  • Any form of deceptive business practices

8.3 Fraud Reporting and Platform Response

User Reporting Mechanism:

  • Users are strongly encouraged to report any suspected fraudulent activities
  • Reports can be submitted on the order you think you need to
  • Anonymous reporting options are available for user protection
  • Detailed evidence and documentation should be provided when possible

Platform Response to Fraud:

  • Immediate Investigation: All fraud reports are investigated promptly
  • Account Suspension: Suspected fraudulent accounts are suspended during investigation
  • Permanent Ban: Confirmed fraudulent users face permanent account termination
  • Legal Action: Platform reserves the full right to pursue legal action against fraudulent participants
  • Law Enforcement Cooperation: Platform will cooperate with authorities in criminal cases

8.4 Quality Dispute Resolution

  • Quality disputes are resolved through our comprehensive review system
  • Evidence-based investigation process for all quality complaints
  • Fair resolution procedures that protect both buyers and sellers
  • Repeat quality violations may result in seller level demotion or account restrictions

9. Review and Rating System

9.1 Review Process

  • Buyers can rate sellers after order completion
  • Ratings are on a 1-5 scale
  • Reviews must be honest and constructive
  • False reviews may result in account penalties

9.2 Seller Performance

  • Ratings affect seller level progression
  • Poor performance may result in level demotion
  • Consistent high ratings unlock premium features
  • Performance metrics are calculated over rolling 60-day periods

10. Dispute Resolution and Reporting

10.1 Report Categories

Users can report issues including:

  • Product Issues: Quality, quantity, or delivery problems
  • Behavioral Issues: Communication, professionalism, fraud concerns
  • Payment Issues: Late payments, disputes, false claims
  • Contract Violations: Terms breaches, misrepresentation

10.2 Report Process

  • Reports are reviewed by our support team
  • Investigation may require additional information
  • Resolution timelines vary by issue complexity
  • False reports may result in account penalties

11. Account Suspension and Termination

11.1 Suspension Reasons

Accounts may be suspended for:

  • Violation of platform policies
  • Fraudulent activity
  • Repeated poor performance
  • Non-payment of fees
  • Safety or security concerns

11.2 Ban System

  • Temporary or permanent bans may be imposed
  • Ban reasons are documented and communicated
  • Appeal process is available for banned users
  • Unban requests are reviewed by administrators

12. Customer Support

12.1 Support Categories

Our support system handles:

  • General: Basic platform questions
  • Technical: Technical issues and bugs
  • Payments: Payment and billing inquiries
  • Partnership: Business partnership opportunities

12.2 Support Process

  • Tickets are prioritized by urgency and category
  • Response times vary by priority level
  • Internal notes are not visible to customers
  • Customer satisfaction ratings are collected

13. Data Protection and Privacy

13.1 Data Collection

We collect and process:

  • Account and profile information
  • Transaction and order data
  • Communication records
  • Location data for delivery purposes
  • Performance metrics and analytics

13.2 Data Usage

  • Data is used to provide and improve our services
  • Analytics help optimize platform performance
  • Location data enables delivery coordination
  • Performance data determines seller levels

14. Intellectual Property

14.1 Platform Content

  • All platform content is owned by VitoFarms
  • Users may not copy or distribute platform content
  • Farm listings and product information remain user property
  • User-generated content is licensed to the platform

14.2 User Content

  • Users retain rights to their farm and product information
  • Platform may use anonymized data for analytics
  • User content must not infringe on third-party rights
  • False or misleading content is prohibited

15. Limitation of Liability

15.1 Service Availability

  • Platform availability is not guaranteed
  • Maintenance and updates may cause temporary downtime
  • We strive for 99% uptime but cannot guarantee it
  • Emergency maintenance may occur without notice

15.2 Transaction Risks and Platform Limitations

  • Users are fully responsible for their transactions and business decisions
  • Platform facilitates connections but does not guarantee transaction outcomes
  • Platform is NOT liable for product quality, delivery issues, or payment disputes
  • Platform serves solely as a communication facilitator between parties
  • All product verification must be completed before payment
  • Platform encourage users to not send any amount to seller in advance
  • Financial losses, quality issues, and delivery problems are user responsibilities
  • Platform liability is limited to providing communication tools and marketplace access
  • In case of any dispute platform will provide help and take actions that are in our control.

16. Modifications to Terms

16.1 Updates

  • Terms may be updated periodically
  • Significant changes will be communicated to users
  • Continued use constitutes acceptance of new terms
  • Users may terminate accounts if they disagree with changes

16.2 Notification

  • Updates are posted on the platform
  • Email notifications are sent for major changes
  • Users should review terms regularly
  • Archived versions are available upon request

17. Governing Law and Jurisdiction

17.1 Applicable Law

  • These terms are governed by Pakistani law
  • Disputes are resolved in Pakistani courts
  • International users agree to Pakistani jurisdiction
  • Local laws may apply to specific transactions

17.2 Dispute Resolution

  • Mediation is encouraged for disputes
  • Arbitration may be required for certain disputes
  • Legal proceedings are a last resort
  • Platform administrators have final authority
